Order Form

Framework Terms: This Order Form incorporates and is governed by the Framework Terms that are made up of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms Version 2.1, which are incorporated by reference. Any modifications to the Standard Terms made in the Cover Page will control over conflicts with the Standard Terms. Capitalized words have the meanings given in the Cover Page or the Standard Terms.

Cloud Service: Endeem, a security platform for AI agents. It gives each AI agent its own identity, enforces Customer’s policies on what the agent can access before it acts, and records agent activity for visibility and audit. The Cloud Service includes the Endeem management platform and the Endeem software that Customer installs on supported devices.

Order Date: The Effective Date

Subscription Period: One month

Cloud Service Fees: None. Use of the Product under these terms is free of charge. Paid use requires a separate agreement signed by Customer and Provider.

Non-Renewal Notice Period: At least 30 days before the end of the current Subscription Period.

Use Limitations: Customer may use the Product only for its internal business purposes and only for the users and devices it signs up. The Product monitors AI activity on Customer’s devices, including encrypted traffic from AI tools. Customer is responsible for giving its users any notice and getting any consent that the law or its own policies require, and may install the device software only on devices it is authorized to manage.

Key Terms

Customer: The company or person who accesses or uses the Product. If the person accepting this Agreement is doing so on behalf of a company, all use of the word “Customer” in the Agreement will mean that company.

Provider: Nextident, Inc. d/b/a Endeem

Effective Date: The date Customer first accepts this Agreement.

Governing Law: The laws of the State of Delaware

Chosen Courts: The state or federal courts located in Delaware

Covered Claims:

• Provider Covered Claims: Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights.
• Customer Covered Claims: Any action, proceeding, or claim that (1) the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon anyone else’s intellectual property or other proprietary rights; or (2) results from Customer’s breach or alleged breach of Section 2.1 (Restrictions on Customer).

General Cap Amount: The greater of $10,000 or 1x the fees paid or payable by Customer to Provider in the 12 month period immediately before the claim.

Attachments, Supplements & Modifications

Security Policy: Provider will use commercially reasonable efforts to secure the Cloud Service from unauthorized access, alteration, or use and other unlawful tampering.

Changes to the Standard Terms:

• Updates to these terms: Modifying Section 12.2 of the Standard Terms, Provider may update this Cover Page by posting a new version on its website and notifying Customer by email or in the Product at least 30 days before the update takes effect. If Customer keeps using the Product after that date, Customer accepts the update. If Customer does not accept it, Customer may stop using the Product and close its account.
• Machine Learning: Modifying Section 1.6 of the Standard Terms, Provider will not use Customer Content to develop, train, or improve artificial intelligence or machine learning models. Provider may still use Usage Data for those purposes as Section 1.6 allows.
• Prohibited Data: The Product records traffic from AI tools on Customer’s devices, and that traffic may include Prohibited Data that Users enter into those tools. Modifying Section 3.2 of the Standard Terms, Customer authorizes the Product to capture Prohibited Data in that traffic, and Provider will protect it as Customer Content. Customer may not otherwise submit Prohibited Data to the Product. Before installing the Product on devices of Users who handle protected health information regulated by HIPAA, Customer must sign a business associate agreement with Provider.
• Beta Products: While Customer uses the Product without charge, the Product is a Beta Product under Section 12.7 of the Standard Terms.
